These Terms & Conditions (“Agreement”) govern your use of services provided by AD Power Sdn Bhd (“we”, “us”, “our”, or “the Company”). By engaging our services, you (“Client” or “Customer”) acknowledge and agree to be legally bound by this Agreement.

1. Scope of Services

AD Power Sdn Bhd is a full turnkey Engineering, Procurement, Construction, and Commissioning (EPCC) provider for solar photovoltaic (PV) systems and related works. The full scope of services will be defined in the respective proposal, quotation, or contract accepted by both parties.

2. Payment Terms

Unless otherwise stated in writing, our general payment terms are as follows:

  • 30% upfront upon acceptance of the proposal,

  • 60% upon completion of installation, and

  • 10% upon project handover.

For payments made via credit card, debit card, e-wallets, or any method other than bank transfers, full payment must be made upfront at the time of transaction. These payment terms are subject to revision depending on the nature and scale of the project.

Failure to make payment as per the agreed terms may result in suspension of work, delay in delivery, or termination of services at our discretion.

3. Warranties

Warranty terms vary by project and are dependent on the brands, models, and types of equipment installed. Specific warranty periods and coverage details will be documented in the official project proposal.

Unless stated otherwise:

  • A general Defect Liability Period (DLP) of two (2) years from the date of commissioning shall apply.

  • Warranty claims are subject to proper maintenance and usage by the client and do not cover damage due to negligence, misuse, force majeure, or third-party interference.

4. Project Timeline

No fixed completion time shall be guaranteed. The estimated project timeline is provided based on current circumstances and may change due to:

  • Weather conditions,

  • Authority approvals or delays,

  • Material availability,

  • Client-side delays (e.g., site readiness, permits, or third-party dependencies).

We shall not be held liable for any loss or damages arising from project delays unless explicitly stated in writing.

5. Intellectual Property

All designs, diagrams, documentation, software, and intellectual property developed or used by us remain the sole property of AD Power Sdn Bhd unless otherwise agreed in writing. Customers are not permitted to replicate, distribute, or reuse any part of our deliverables without written permission.

6. Customer Obligations

Customers agree to:

  • Provide accurate and complete information during onboarding and project planning.

  • Ensure that the project site is ready and accessible as agreed.

  • Comply with all instructions regarding usage, operation, and maintenance of the installed systems.

  • Not interfere with or modify the installation without our prior written consent.

7. Limitation of Liability

AD Power Sdn Bhd shall not be liable for any indirect, incidental, punitive, or consequential damages arising out of or in connection with the use of our services, including but not limited to loss of revenue, business interruption, or equipment damage caused by acts beyond our control.

Our total liability shall not exceed the total amount paid by the customer for the specific project under dispute.

8. Governing Law

This Agreement shall be governed and construed in accordance with the laws of Malaysia. Any disputes arising shall be resolved in Malaysian courts or via mutually agreed mediation.

Cancellation & Refund Policy

This Cancellation & Refund Policy is intended to protect the interests of both AD Power Sdn Bhd and its clients, and to ensure a fair and transparent relationship.

1. Cancellation by the Customer

Cancellation is strictly not allowed once work has commenced. This includes any administrative action such as:

  • Submission of applications to government or regulatory bodies,

  • Site visits or inspections,

  • Equipment procurement or mobilisation.

Should a customer wish to cancel prior to commencement, such requests will be reviewed on a case-by-case basis. Acceptance of cancellation and any associated refund (if any) must be confirmed in writing by AD Power Sdn Bhd.

2. Cancellation by AD Power Sdn Bhd

We reserve the right to cancel or terminate a project under reasonable circumstances including but not limited to:

  • Inability to proceed due to unforeseen legal or regulatory barriers,

  • Non-payment or breach of agreement by the customer,

  • Force majeure events.

In such cases, any eligible refund will be determined after deduction of any incurred cost and time spent.

3. Refund Policy

  • Deposits are strictly non-refundable unless explicitly stated otherwise in writing in the project proposal, invoice, or contract.

  • Refunds may be considered only in situations where AD Power Sdn Bhd fails to fulfill its contractual obligations and such failure is not caused by the client or any third party.

  • All refund decisions are final and at the sole discretion of AD Power Sdn Bhd management.

4. Force Majeure

Neither party shall be liable for delays or failure in performance due to events beyond reasonable control, including but not limited to natural disasters, war, terrorism, acts of government, labor disputes, pandemics, or power failures.

Privacy Policy

We are committed to protecting your privacy and ensuring that your personal data is handled responsibly and in compliance with applicable data protection regulations in Malaysia.

1. Collection of Personal Data

We collect personal information such as name, contact details, billing information, and project site data for the purpose of:

  • Processing your orders and payments,

  • Fulfilling project requirements,

  • Communicating regarding project progress or updates,

  • Submitting applications to relevant government or utility bodies.

We do not collect unnecessary information, nor do we use your data for marketing purposes without explicit consent.

2. Use of Personal Data

Your data will be used strictly for project fulfillment and internal documentation. We may share your data only with:

  • Relevant regulatory authorities (e.g., SEDA, TNB),

  • Payment processors and financial institutions,

  • Third-party contractors involved in your project, under confidentiality agreements.

We will never sell, rent, or share your personal data for advertising or commercial gain.

3. Cookies and Website Tracking

Our website uses cookies to enhance user experience, analyze site usage, and provide tailored content. By continuing to browse our site, you consent to the use of cookies.

You may adjust your browser settings to block cookies, but this may affect website functionality.

4. Data Security
